TotalEnergies (EPA) has announced its intention to explore the possibility of cross-listing its shares in the United States while maintaining its presence on the Euronext stock exchange. Chairman and Chief Executive, Patrick Pouyanne, revealed this plan during the company's annual shareholder meeting, stating that it's primarily a technical study aimed at offering shares to the American market while retaining European shareholders.

Pouyanne emphasized that the majority of TotalEnergies' shareholders are European, hence the importance of maintaining listings on exchanges such as Euronext in Paris, London, and Brussels. The proposed cross-listing aims to provide easier access for U.S. investors while ensuring continued presence in European markets.

This move comes after Pouyanne's remarks in April, where he indicated that TotalEnergies was actively considering a primary listing in New York. The objective behind this potential listing shift is to facilitate accessibility for U.S. investors. Pouyanne committed to updating the board on the progress by September and reiterated the company's commitment to remain listed on the Paris stock market.

Key Points to Consider:

  1. Enhanced Market Access: A cross-listing in the U.S. could broaden TotalEnergies' investor base, offering American investors easier access to the company's shares.

  2. European Shareholder Retention: Despite exploring opportunities in the U.S., TotalEnergies remains dedicated to its European shareholder base, highlighting its commitment to maintain listings on major European exchanges.

  3. Strategic Decision: The decision to consider a cross-listing reflects TotalEnergies' strategic approach to capital markets and investor relations, aiming to optimize access to capital and enhance shareholder value.

Investors will be keenly observing TotalEnergies' decision-making process and the potential implications of a cross-listing on shareholder value and market dynamics.
