Stock-based compensation and share repurchases can both influence how investors interpret a company's per-share economics, but the relationship is not as simple as comparing the dollars spent on each.
A company can spend billions on repurchases while its diluted weighted-average share count rises, remains approximately stable, or declines. At the same time, the diluted EPS denominator can include potential common shares from stock-based compensation plans, so changes in that denominator should not be treated as a direct measurement of shares issued through SBC or shares retired through repurchases.
This article uses Claude with Financial Modeling Prep's MCP server to build a five-year review for Adobe (ADBE) across FY2021 through FY2025. The analysis combines annual stock-based compensation, revenue, basic and diluted weighted-average shares, and common-stock repurchase spending.
Claude first measures SBC intensity relative to revenue and then calculates year-over-year changes in the diluted weighted-average share denominator, with the basic-share trend retained as a supporting check. Repurchase spending is evaluated separately through the Repurchase Spend-to-SBC Expense Ratio, which compares annual repurchase cash outflows with reported SBC expense.
The share-count trend remains the primary per-share observation. The cash ratio provides supporting scale context only because SBC expense and repurchase spending are measured on different bases, and annual repurchase cash payments cannot be mapped directly to the same year's change in weighted-average shares.
The result is a structured review that distinguishes changes in Adobe's diluted EPS denominator from the separate scale of SBC expense and repurchase spending, without attributing the observed share-count movement to a specific cause.
FMP Data and Claude MCP Setup
This analysis uses Financial Modeling Prep through its MCP server to retrieve Adobe's annual income-statement and cash-flow records for FY2021 through FY2025.
To follow the workflow, connect FMP to Claude through Settings → Connectors → Add custom connector, authorize the FMP MCP server using your API key, and start a new Claude conversation with the connector enabled.
For the analysis in this article, the data was retrieved on October 6, 2026 using the FMP MCP statements tool. Two statement operations were used:
- Income statement: income-statement
- Cash-flow statement: cashflow-statement
The corresponding FMP datasets are documented in the Income Statement API and Cash Flow Statement API.
The underlying REST endpoint paths are:

Both requests used the same parameters:
- Symbol: ADBE
- Period: annual
- Limit: 5
The income-statement retrieval retained the fiscal year, period-end date, reported currency, filing date, revenue, basic weighted-average shares, and diluted weighted-average shares.
The cash-flow retrieval retained the fiscal year, period-end date, reported currency, filing date, stock-based compensation, and common-stock repurchases.
All five records were reported in USD. Monetary values were returned in whole dollars and converted to $ millions for presentation. Weighted-average share values were returned as whole shares and converted to millions of shares for display.
Income-statement and cash-flow records were matched using the same company symbol, fiscal year, annual period, and fiscal-period end date. The five matched periods were:
- FY2021: December 3, 2021
- FY2022: December 2, 2022
- FY2023: December 1, 2023
- FY2024: November 29, 2024
- FY2025: November 28, 2025
In the October 6, 2026 retrieval used for this article, the raw FMP response returned the following core values:

These values preserve what FMP actually returned before filing-level reconciliation. FY2024 requires one important adjustment for analytical consistency: FMP returned $1.881 billion for stockBasedCompensation, while Adobe's GAAP cash-flow statement reports $1.833 billion of stock-based compensation. The analysis therefore keeps the raw FMP value visible while using the filing-reported standalone SBC amount for calculations based on a consistent five-year SBC definition. The reconciliation is explained in the methodology and results sections rather than silently replacing the retrieved value.
Primary-source validation used Adobe's corresponding annual filings: FY2025 Form 10-K, FY2024 Form 10-K, FY2023 Form 10-K, FY2022 Form 10-K, and FY2021 Form 10-K.
The filings are used to validate reporting definitions, share-count presentation, and specific discrepancies rather than being silently substituted for the original FMP response.
SBC, Share-Count, and Repurchase Methodology
The analysis evaluates Adobe across five completed fiscal years from FY2021 through FY2025. It keeps three evidence streams separate: the scale of stock-based compensation, changes in the weighted-average share denominator used for EPS, and annual cash spent on common-stock repurchases.
These measures are related, but none should be treated as a direct substitute for another.
SBC Intensity
For each fiscal year:
SBC Intensity = Stock-Based Compensation ÷ Revenue × 100
The analysis uses one consistent SBC definition across the five-year period: the “Stock-based compensation” amount reported in Adobe's GAAP Consolidated Statements of Cash Flows.
For FY2021, FY2022, FY2023, and FY2025, the relevant FMP stockBasedCompensation value aligns with that cash-flow definition. For FY2024, FMP returned $1.881 billion, while Adobe's FY2024 Form 10-K reports $1.833 billion on the GAAP cash-flow statement. The analysis therefore uses $1.833 billion for FY2024 while retaining the $1.881 billion FMP value as a disclosed mapping difference rather than silently replacing it.
SBC intensity is an accounting-expense measure. It shows the scale of reported SBC relative to revenue but does not establish the number of shares issued through equity compensation.
Basic and Diluted Weighted-Average Shares
The primary share-count measure is the year-over-year change in diluted weighted-average shares:

The analysis also calculates basic weighted-average share growth as a supporting check:

FY2021 is the baseline year because no FY2020 observation is introduced solely to calculate an additional growth rate.
Diluted weighted-average shares represent the denominator used in diluted EPS. They can include the effect of potential common shares from stock-based compensation plans, such as restricted stock units or other dilutive awards. Therefore, movement in the diluted denominator should not be interpreted as a direct measurement of shares issued through SBC, shares repurchased during the period, or SBC-specific ownership dilution.
Basic weighted-average shares are retained as a supporting check because they exclude the incremental dilutive effect included in the diluted EPS denominator. Neither measure represents a complete reconciliation of beginning shares, issuances, repurchases, award settlements, and ending shares outstanding.
For FY2024, the October 6, 2026 FMP retrieval returned 447.1 million basic shares and 450.0 million diluted shares. Adobe's FY2024 filing reports 447.1 million basic weighted-average shares and 449.7 million diluted weighted-average shares. The FMP-derived growth calculation continues to use the raw 450.0 million value returned by FMP, while the filing difference is disclosed as a source-precision limitation. The difference does not change the resulting classification.
Diluted-EPS-Denominator Classification
The diluted-share classification is based only on year-over-year diluted weighted-average share growth.
- Below −0.50%: Net Diluted-Share Reduction
- −0.50% through +0.50%: Approximately Stable Diluted Shares
- Above +0.50%: Diluted-Share Increase
- Missing or non-comparable share data: Review Required
The ±0.50% band is an illustrative materiality threshold for this workflow rather than an industry standard.
These classifications describe changes in the diluted EPS denominator. They do not establish whether SBC-specific dilution increased or decreased, nor do they provide a complete share reconciliation.
Repurchase Spend-to-SBC Expense Ratio
Repurchase activity is evaluated separately from the share-count classification.
Where FMP reports commonStockRepurchased as a negative cash-flow outflow:

The supporting cash ratio is:
Repurchase Spend-to-SBC Expense Ratio = Repurchase Spend ÷ Stock-Based Compensation
The ratio compares the amount of cash spent on common-stock repurchases with reported SBC expense. For example, a ratio of 5.2x means annual repurchase spending was 5.2 times the SBC expense used in the analysis.
It does not establish:
- how many SBC-related shares were issued;
- how many such shares were repurchased;
- whether particular repurchases were executed because of SBC;
- how much of the change in diluted weighted-average shares resulted from repurchases;
- or the exact portion of dilution attributable to employee equity compensation.
SBC expense and repurchase spending are measured on different accounting bases, so the ratio is used only to compare their relative dollar scale.
Repurchase and Share-Count Observation
The share-count outcome remains separate from the cash ratio. The following descriptive observations are used:
- Repurchases With Net Diluted-Share Reduction: Repurchase spending is positive while diluted weighted-average shares decline by more than 0.50%.
- Repurchases With Approximately Stable Diluted Shares: Repurchase spending is positive while diluted weighted-average shares remain within the ±0.50% band.
- Diluted Shares Increased While Repurchases Occurred: Repurchase spending is positive while diluted weighted-average shares increase by more than 0.50%.
- No Repurchase Cash Outflow Reported: The validated annual repurchase cash outflow is zero.
- Baseline — Relationship Not Classified: FY2021, where no prior-year comparison is made within the defined dataset.
- Review Required: A required share-count or repurchase input is missing, conflicting, or non-comparable.
These labels describe observations only. They do not imply that repurchases caused, prevented, contained, or were intended to affect the share-count outcome.
Adobe Repurchase-Timing Limitation
Adobe uses accelerated and structured share-repurchase arrangements, which creates an additional timing limitation when comparing annual repurchase cash spending with weighted-average shares.
Adobe's filings show that cash prepayments and actual share deliveries can fall in different fiscal periods. The FY2024 filing, for example, includes shares delivered during FY2024 under arrangements entered into during FY2023 as well as FY2024.
As a result, the repurchase cash outflow reported for one fiscal year cannot be matched directly to the reduction in that same year's weighted-average share denominator. The analysis therefore reports annual repurchase spending and annual share-count movement alongside each other without treating them as a one-for-one reconciliation.
Validation Rules
Before calculating any metric, the required inputs must pass basic validity checks.
Revenue must be present and greater than zero before SBC intensity is calculated.
The prior-year diluted weighted-average share denominator must be present and greater than zero before diluted-share growth is calculated. The same rule applies to the prior-year basic-share denominator.
A verified SBC value of zero is treated differently from missing SBC:
- If SBC is verified as zero and revenue is valid, SBC Intensity is 0.0%.
- If SBC is zero, the Repurchase Spend-to-SBC Expense Ratio is undefined because its denominator is zero.
- Missing, negative, definitionally inconsistent, or unreconciled SBC affects only the calculations dependent on that input unless the issue prevents a broader five-year assessment.
The same principle applies to repurchase data. A verified zero cash outflow produces the observation No Repurchase Cash Outflow Reported. Missing or uninterpretable repurchase data instead requires review of the affected repurchase-dependent calculation.
Income-statement and cash-flow records must also align by company, fiscal year, annual period, and period-end date.
Structural comparability is checked separately against Adobe's annual filings rather than inferred from the absence of a corporate-action flag in the two FMP statement responses. If a stock split, reverse split, recapitalization, or comparable structural event makes a year non-comparable, the affected observation should be marked Review Required.
Data Validation Confidence and Boundary Sensitivity
Data quality and proximity to the ±0.50% classification threshold are evaluated separately.
Data Validation Confidence
- High: Required inputs and definitions are reconciled, the statement periods align, and no material unresolved source issue affects the calculation.
- Medium: The calculation remains usable, but a meaningful source, mapping, precision, or reconciliation limitation remains.
- Review Required: A core input or definition cannot be established reliably enough to support the calculation.
Classification Boundary Sensitivity
- Low: The diluted-share growth result is comfortably outside the ±0.50% classification boundary.
- Elevated: The result is sufficiently close to the boundary that source precision or rounding could change the classification.
- N/A: Baseline year or a calculation already marked Review Required.
A result should not receive lower data-validation confidence merely because it falls close to the classification threshold. Likewise, strong source validation does not eliminate the need to flag a mathematically borderline classification.

The October 6, 2026 FMP retrieval produced five aligned annual income-statement and cash-flow records for Adobe from FY2021 through FY2025. The table below uses a consistent SBC definition based on the stock-based compensation amount reported in Adobe's GAAP cash-flow statement.
For FY2021, FY2022, FY2023, and FY2025, the FMP SBC field aligns with that definition. FY2024 requires a source reconciliation, which is shown explicitly rather than silently replacing the original FMP value.

FY2024 SBC Reconciliation
FY2024 is the only year in the five-year series where the raw FMP stockBasedCompensation field does not align with the standalone SBC definition used in the analysis.
FMP returned $1.881 billion, while Adobe reports $1.833 billion of stock-based compensation for FY2024. Adobe separately reports $1.881 billion of stock-based and deferred compensation expense in its FY2024 GAAP-to-non-GAAP reconciliation. The raw FMP value therefore numerically matches that broader combined measure rather than the standalone SBC amount used consistently across this analysis.
The FY2024 analytical input is therefore $1.833 billion. The original $1.881 billion FMP value remains disclosed so that the source-mapping difference is visible rather than silently corrected.
Using the consistent $1.833 billion input, FY2024 SBC intensity is 8.5% of revenue, and repurchase spending is 5.2x SBC expense.
FY2024 Share-Count Precision
The October 6 FMP retrieval returned FY2024 basic weighted-average shares of 447.1 million and diluted weighted-average shares of 450.0 million. These values came directly from the FMP response and were not manually substituted.
Adobe's FY2024 filing reports 447.1 million basic weighted-average shares, 2.6 million dilutive potential common shares from stock plans and programs, and 449.7 million diluted weighted-average shares. The filing therefore provides greater precision for the diluted denominator than the 450.0 million value returned by FMP.
The analysis retains the raw FMP value of 450.0 million when calculating the FMP-derived year-over-year diluted-share change. The source of the 0.3 million difference is not established, so the filing value is not silently substituted into that calculation. The difference does not affect the classification because the FY2024 decline remains comfortably below the −0.50% threshold under either presentation.
Across the full period, SBC expense increased from $1.069 billion in FY2021 to $1.942 billion in FY2025, while basic weighted-average shares declined from 477.0 million to 426.0 million and diluted weighted-average shares declined from 481.0 million to 427.0 million.
Repurchase cash outflows were reported in every year. Their relative scale is evaluated in the next table, while the share-count movement remains a separate observation rather than evidence that a specific amount of SBC-related dilution was offset.
SBC, Share-Count, and Repurchase Review
The second stage of the analysis combines SBC intensity, year-over-year basic and diluted share changes, and repurchase spending. The diluted-share classification remains separate from the Repurchase Spend-to-SBC Expense Ratio so that the cash comparison is not interpreted as evidence of a causal buyback offset.

Adobe Repurchase-Timing Note: Annual repurchase cash spending should not be mapped one-for-one to the same fiscal year's weighted-average-share reduction. Adobe has used accelerated and structured repurchase arrangements under which cash payments and actual share deliveries can occur in different fiscal periods.
What the Five-Year Review Shows
- SBC intensity increased before moderating. SBC expense represented 6.8% of revenue in FY2021, increased to 8.9% in FY2023, and then moderated to 8.5% in FY2024 and 8.2% in FY2025.
- Both basic and diluted weighted-average shares declined in every comparable year. Diluted weighted-average shares fell 2.08% in FY2022, 2.55% in FY2023, 1.96% in FY2024, and 5.11% in FY2025. Each observation is therefore classified as Net Diluted-Share Reduction under the defined −0.50% threshold.
- Repurchase spending remained several times larger than annual SBC expense on a dollar basis. The Repurchase Spend-to-SBC Expense Ratio ranged from 2.6x in FY2023 to 5.8x in FY2025. This comparison provides scale context only; it does not establish how much SBC-related dilution was offset or attribute the decline in weighted-average shares to repurchases.
- FY2024 remains the main source-validation exception, but it does not alter the share-count classification. The SBC mapping difference is incorporated through the filing-validated $1.833 billion analytical input, while the 450.0 million diluted-share value returned by FMP is retained for the FMP-derived growth calculation. The resulting -1.96% diluted-share change remains comfortably below the −0.50% classification threshold.
When Analyst Review Is Required
The framework is designed to separate calculation issues from interpretation issues. A year should be marked Review Required when a core input cannot be established reliably enough to support the relevant calculation or classification.
Analyst review is particularly important when:
- the SBC field is missing, negative, or cannot be reconciled to a consistent reporting definition;
- revenue or a required prior-year share denominator is missing or non-positive;
- income-statement and cash-flow periods do not align;
- basic or diluted weighted-average share data is missing or non-comparable;
- the repurchase field is missing or its cash-flow sign cannot be interpreted consistently;
- a stock split, reverse split, recapitalization, or similar structural event affects comparability; or
- source precision is close enough to a classification boundary that the result could change.
A verified zero should not automatically trigger Review Required. Zero SBC produces 0.0% SBC intensity, although the Repurchase Spend-to-SBC Expense Ratio becomes undefined because its denominator is zero. Similarly, a verified zero repurchase cash outflow should be reported as No Repurchase Cash Outflow Reported, rather than interpreted as missing data.
For Adobe, FY2024 is the main analyst follow-up item because the raw FMP SBC field differs from the standalone GAAP cash-flow SBC amount and the FMP diluted-share figure is less precise than the filing figure. Those differences are disclosed and reconciled in this analysis, so FY2024 remains usable with Medium Data Validation Confidence rather than being classified as Review Required.
Repurchase timing also requires care. Adobe's FY2024 Form 10-K shows that accelerated share repurchases can involve a cash prepayment followed by initial and subsequent share deliveries. It also reports FY2024 share deliveries under a structured repurchase agreement entered into during FY2023. As a result, annual repurchase cash outflows should not be mapped directly to the same fiscal year's weighted-average-share change.
Structural comparability should be checked independently rather than inferred from the absence of a corporate-action field in the FMP statement response. A targeted review of Adobe's FY2021-FY2025 filings did not identify a stock split, reverse split, or recapitalization that would make the five-year share series non-comparable. Adobe's official Stock Split FAQ identifies its most recent stock split as the two-for-one split paid in May 2005. This is a comparability check rather than an exhaustive corporate-action audit.
Finally, the Repurchase Spend-to-SBC Expense Ratio should remain a scale comparison rather than an attribution measure. SBC expense is an accounting expense, while repurchases are cash outflows, and the available statement data does not identify which repurchased shares, if any, correspond to particular employee equity awards.
From SBC Expense to Share-Count Evidence
Reviewing SBC expense, weighted-average shares, and repurchase activity together provides more context than examining any one of those measures in isolation.
Using Claude with FMP MCP, Adobe's FY2021-FY2025 history shows SBC intensity rising from 6.8% of revenue in FY2021 to 8.9% in FY2023, before moderating to 8.5% in FY2024 and 8.2% in FY2025.
Across every comparable year from FY2022 through FY2025, both basic and diluted weighted-average shares declined. Diluted weighted-average shares fell from 481.0 million in FY2021 to 427.0 million in FY2025, with each year from FY2022 onward classified as Net Diluted-Share Reduction under the methodology used in this article.
Repurchase spending was also substantial, with the Repurchase Spend-to-SBC Expense Ratio ranging from 2.6x to 5.8x across the five-year period. That comparison shows the relative dollar scale of repurchases and SBC expense, but it does not establish how much SBC-related dilution was offset or prove that repurchases caused the observed decline in weighted-average shares.
The more defensible conclusion comes directly from the denominator evidence: Adobe's diluted weighted-average share count declined throughout the comparable period while significant repurchase activity was also reported.
By keeping the share-count outcome, SBC expense, and repurchase cash spending analytically separate, the workflow provides a reproducible way to identify changes in the diluted EPS denominator without assigning a causal relationship that the underlying statement data cannot establish.
